DRAFT FOR OWNER AND COUNSEL REVIEW — NOT IN EFFECT

Operator: Vanguard Reputation Solutions LLC

Effective date: [Effective date — set only after counsel approval]

1. About these Terms

These Terms of Use ("Terms") are an agreement between you and Vanguard Reputation Solutions LLC ("we", "us") about your use of the NuvoCent beta app and website ("NuvoCent"). Please read them carefully. If you do not agree, do not use NuvoCent.

2. Beta status

NuvoCent is an invitation-only beta. Features may change, pause, or stop, and may contain errors. We may end the beta or your access with reasonable notice where practical.

3. Who can use NuvoCent

You must be invited, be at least 18 years old, and have reached the age of majority where you live. You must use only financial accounts you own or are authorized to view.

4. What NuvoCent does

NuvoCent is a read-only budgeting tool. It can:

- show spending summaries from sample data or, if you choose, from bank accounts you connect;

- analyze CSV transaction exports you explicitly review and confirm on the website, using only the selected bank or CSV source, never both together;

- flag possible recurring payments based on patterns in your records;

- provide reviewed merchant or Apple/Google billing-channel cancellation handoffs for detected patterns, with official destinations or an editable request for the contact on your actual statement/receipt. You complete cancellation yourself; opening a page or copying a request is not cancellation or sending, and fees, notice periods and refunds remain unknown until checked with the provider;

- offer general, AI-generated savings coaching based on minimized summaries.

- Help organize manually entered unwanted charges and prepare an original editable issuer draft through NuvoCent ChargeWise AI. You review and approve the exact draft; your issuer decides the outcome. NuvoCent does not file disputes for you; finish in your issuer’s official process. Exporting or opening issuer help is not submission. An unwanted authorized purchase must not be described as fraud.

5. What NuvoCent does not do

- It does not move money, make transfers, deposits, payments, or trades, or cancel subscriptions for you.

- It is not a bank, broker, investment adviser, tax adviser, or credit service, and does not hold your funds. We do not claim any FDIC or SIPC coverage, license, or certification.

- It does not guarantee any savings or financial outcome.

6. Estimates and accuracy

Figures are estimates. Records may be incomplete (for example, only a recent subset of transactions may be read), balances may be cached and out of date, pending items may change, and recurring-payment detection is a guess, not a confirmation. AI coaching can be wrong or incomplete. Check your bank's own records before making decisions.

7. Your account and security

Please keep your sign-in methods and devices secure and use only accounts you are authorized to use. You are responsible for activity you carry out or authorize; you are not responsible for unauthorized activity to the extent applicable law protects you. Tell us promptly at [Privacy/support contact] if you suspect unauthorized use.

8. Third-party services

NuvoCent relies on third parties, including Plaid (bank connections), our authentication and hosting provider, and AI processing through Lovable AI and its model provider (such as OpenAI). Their own terms and privacy policies apply to their services. We do not control them.

9. Separate choices

Agreeing to these Terms is separate from:

- Bank connection authorization — connecting a bank and allowing NuvoCent to store read-only account data is a separate, optional step you can undo by disconnecting.

- AI consent — sharing minimized summaries with AI coaching is a separate, optional consent you can revoke.

- ChargeWise AI choice: separate memory-only active-case opt-in for manual charge facts and ChargeWise conversation. It never enables/reuses bank-summary coaching consent. Manual preparation and issuer guidance need no AI.

Accepting these Terms does not by itself connect a bank or enable AI on your data.

10. Acceptable use

Do not misuse NuvoCent, including attempting to access other people's data, interfering with the service, reverse-engineering security controls, or using it unlawfully.

11. Fees

NuvoCent Membership is planned as a single $9.99 USD per month membership covering the whole app, including spending insights, subscription and cancellation tools, the NuvoCent AI money coach and ChargeWise AI. Charging, checkout, subscription management and Apple in-app purchases are not enabled by this source; existing private-beta testing remains unchanged and verified owner testing is complimentary. If enabled later, monthly renewal and cancellation must be disclosed before confirmed checkout, with access limited to the verified paid-through period. Eligible new subscribers may be offered a 7-day free introductory trial through Apple; the trial is shown only when Apple confirms eligibility, Apple does not charge until the trial ends, and cancellation at least 24 hours before the trial ends avoids the first payment. No annual plan is offered. Sign-in, Help, official guidance and data controls remain available without a membership.

12. Ending use

You can stop using NuvoCent at any time, disconnect banks, and revoke AI consent in the app. See the Privacy Policy for current deletion limits.

13. Disclaimers and liability

NuvoCent is provided as a beta "as available." Nothing in these Terms excludes or limits any right or remedy that cannot be waived under applicable law. To the extent permitted by law, we are not responsible for decisions you make based on estimates or AI coaching. Nothing in these Terms limits rights you have under applicable consumer-protection law that cannot be waived. [Counsel: draft any further limitation language narrowly and per jurisdiction; no broad waivers or indemnities proposed.]

14. Disputes

[Counsel: governing law and venue.] We would like to hear about concerns first at [Privacy/support contact]. These Terms do not require arbitration and do not waive class or court rights you may have.

15. Changes

We may update these Terms. We will notify you of material changes and, where required, ask you to accept the new version before continuing.
